This will be a very brief message but I would like to clarify a few issues.  
Over the past few weeks, a number of clubs have contacted the CFUW Board of Directors indicating that they are considering or have decided to withhold some or all of their 2021-2022 dues unless the board terminates CFUW membership in GWI.  Their stated rationale is that the board is bowing to the wishes of the minority of clubs while ignoring the wishes of the majority. I want to assure you all that the board takes this situation very seriously and that we continue to strive to reach an acceptable solution.  With that, I make the following points.
 
Board Action:
  • The CFUW Board of Directors (the board) cannot amend the bylaws. Only the membership can do that by a 2/3 vote in the affirmative. 
  • The board is legally required to comply with the CFUW Articles and Bylaws, including Article 4 which requires CFUW to be a member of GWI. 
  • The board unanimously supported the recommendations of the mediation working group—including removing Article 4 from the CFUW Articles and Bylaws.  To that end, the board has directed the Articles and Bylaws Committee to prepare an amendment for member consideration.  Once presented, it will be up to the clubs to decide whether to adopt the amendment.
  • As long as CFUW remains a member of GWI, CFUW is obligated to pay GWI per capita dues.  This is the advice we have received from our lawyer. 
  • If Clubs withhold their dues, the board may be forced to further deplete Unrestricted Reserves to meet our obligations.
Club Action:
  1. If a club fails to pay CFUW per capita dues in full, it will forfeit its vote at any special or annual general meetings that are held while the club’s dues are outstanding.
  2. Any Club that was eligible to vote at the 2020 AGM will continue to be eligible to vote until April 30, 2021.
  3. If an amendment to Article 4 is presented to the membership for a vote after May 1, 2021, Clubs that have not paid their 2021-2022 per capita dues, in full, will not be able to participate in the decision.
The Board is trying to reach a solution that supports both sides of the CFUW-GWI debate. This is not a new issue and if we are to remain together as a strong, united voice for women in Canada, we have to get this right.
